These terms govern your participation in the MadNomads Co-invest program. Read them carefully and ask us anything you don't understand before contributing.
1. What this is — and isn't
- The Co-invest program is a private participation in specific operational assets (a stay, a vehicle, equipment, or an inventory run) operated by MadNomads.
- It is not a security, not a deposit, not an insurance product, and not a collective investment scheme. We have not solicited the public; participation is by invitation and capped at 199 partners per asset.
- Your participation is recorded as a contractual revenue-share, not as ownership of any underlying property.
2. Risk disclosure
- Capital is at risk. Distributions depend entirely on real-world bookings of the asset and may be zero.
- Yields shown are estimates. They are not commitments by MadNomads.
- No guaranteed buy-back. MadNomads may, at its sole discretion, offer to buy back your slot — it is not obliged to.
- Lock-in. Contributions are locked for the term (typically 12 months).
- Operational risk. The host may default, the vehicle may be damaged, demand may drop, regulations may change.
3. Payouts
- The default payout mode is MadNomads Travel Credits, posted monthly to your wallet after a payout run is closed. Credits are redeemable across stays, activities, trips, taxis, rentals, packages and the shop. They cannot be encashed and are non-transferable.
- You may opt in to INR payouts at signup. INR payouts are settled out-of-band to your registered bank account on a best-efforts basis after deduction of applicable TDS. MadNomads may require additional KYC before INR settlement.
- Each payout run discloses: gross revenue, operating cost, MadNomads management fee, vacancy reserve, and the net distributable amount. Your share is pro-rata to your contribution percentage.
4. MadNomads' obligations
- Co-invest at least 20% in every asset.
- Operate the asset with reasonable diligence.
- Publish monthly payout runs with the full revenue / cost breakdown.
- Maintain a vacancy reserve to smooth short-term demand dips.
- Provide an annual statement and any tax document required (Form 16A where TDS applies).
- Notify partners promptly of any material adverse event affecting the asset.
5. Exit, renewal and transfers
- At maturity you may renew, request exit, or request a peer-to-peer transfer.
- Exit is at the latest declared NAV and is on a best-efforts basis — it depends on a willing buyer or MadNomads' discretionary buy-back.
- Peer-to-peer transfers are facilitated by MadNomads but not guaranteed and may require both parties to be KYC-verified partners.
6. Fees
- MadNomads charges a flat management fee disclosed on each asset page (typically 15% of net revenue).
- Reasonable third-party costs (insurance, audit, legal, maintenance, taxes) are charged to the asset and disclosed in the cost breakdown.
7. KYC and AML
- Partners must complete one-time KYC (PAN, address, bank details).
- MadNomads may refuse contributions or suspend a profile if KYC fails, is suspicious, or appears to be a sanctioned party.
- Records are retained per Indian tax and AML rules.
8. Limits
- Minimum ticket: ₹10,000 per asset.
- Maximum ticket: ₹2,00,000 per asset (raised limits available to accredited partners on request).
- Maximum 199 partners per asset.
- One slot per partner per asset until maturity.
9. Taxes
Payouts (whether in INR or as Travel Credits valued at face) are taxable in your hands per Indian income-tax law. MadNomads will withhold TDS where applicable and issue the corresponding certificate. You are responsible for filing your own returns.
10. Governing law and disputes
These terms are governed by Indian law. Disputes will be resolved by arbitration in [city] under the Arbitration and Conciliation Act, 1996. Pending such resolution, MadNomads' reasonable decisions on operational matters are final.
11. Changes
Material changes to these terms will be notified to partners by email at least 30 days before they take effect. The current version is always at this URL.
